These Website & Portal Terms of Use ("Terms") govern access to and use of the Swetaps website and any password-protected areas, including customer accounts, price lists, downloadable materials, and ordering functionality (the "Portal"). By accessing or using the Website/Portal, you agree to these Terms.

2. Scope and intended users (B2B only)

The Website/Portal is intended for business customers and partners. By using it, you confirm that you are acting on behalf of a business and have authority to bind that business.

3. Accounts, registration and security

3.1 Self-registration. Portal accounts are created through self-registration.

3.2 Accuracy. You must provide accurate company and contact information and keep it updated.

3.3 Credentials. You are responsible for safeguarding usernames/passwords and for all activity under your account.

3.4 Unauthorised access. Notify Swetaps immediately if you suspect misuse or unauthorised access.

3.5 Suspension. Swetaps may suspend or terminate access if we reasonably believe the account is compromised, misused, or used in breach of these Terms.

4. Portal content: prices, lead times and availability

4.1 Prices behind login. Prices displayed in the Portal are available only to logged-in B2B users and may be updated from time to time.

4.2 Clarity of pricing. Where taxes, fees, and delivery costs apply, we will indicate this in the Portal and/or at checkout/order confirmation.

4.3 Lead times/stock. The Portal may show stock status and lead times. Unless explicitly stated as "guaranteed," such information may be subject to change due to operational constraints (e.g., logistics or supplier changes). If lead times are stated as binding for an accepted order, this will be reflected in the order confirmation.

5. Orders placed in the Portal

5.1 Order steps and correction. The Portal is designed to allow you to review and correct input errors before submitting an order.

5.2 Order receipt/confirmation. We will acknowledge receipt of orders placed electronically, and a binding contract is formed when Swetaps issues an order confirmation (or otherwise confirms acceptance in writing).

5.3 Archiving of terms. These Terms are provided in a format that enables saving and reproduction.

6. Acceptable use

You may not:

  • attempt to access non-authorised areas;
  • scrape, crawl, or systematically extract Portal data;
  • introduce malicious code or disrupt service availability;
  • use the Website/Portal unlawfully or to infringe others' rights.

7. Intellectual property and permitted use of downloadable materials

7.1 Ownership. All Website/Portal content (text, images, product sheets, design elements, trademarks) is owned by Swetaps or its licensors.

7.2 Marketing license for customers. If the Portal provides downloadable product images/spec sheets, you are granted a non-exclusive, non-transferable, revocable right to use them solely to market and sell Swetaps products in your channels. You may not remove branding, alter trademarks, or use materials to market competing products.

7.3 No redistribution. You may not resell, publish as a public asset library, or redistribute materials to third parties (except your agencies/contractors working for you, under confidentiality, strictly for the above purpose).

8. Confidentiality

Portal information (including price lists, customer-specific terms, and documents) may be confidential. You agree to keep such information confidential and restrict access to personnel with a need to know.

9. Availability and changes

We may update the Website/Portal, including features and content, and may update these Terms. Changes apply from the date they are published.

10. Disclaimer

The Website/Portal is provided "as is" and "as available." We do not guarantee uninterrupted access or that all information is error-free at all times.

11. Limitation of liability (B2B)

To the maximum extent permitted by applicable law, Swetaps shall not be liable for indirect or consequential losses (including loss of profit, revenue, business, goodwill, or data). Swetaps' total liability relating to the Website/Portal is limited to SEK 10,000, unless mandatory law provides otherwise.

12. Governing law and jurisdiction

These Terms are governed by Swedish law. Disputes shall be decided by Swedish courts, with Stockholm District Court (Stockholms tingsrätt) as first instance.

7. Delivery, lead times, and risk transfer

7.1 Delivery terms. Unless otherwise agreed in writing, delivery is DAP (Delivered at Place) to the delivery address stated in the Order Confirmation (Incoterms® 2020). Risk transfers when the goods are placed at the Customer's disposal on the arriving means of transport ready for unloading at the named place.

7.2 Lead times. Stated lead times are binding only if explicitly confirmed in the Order Confirmation.

7.3 Partial deliveries. Swetaps may deliver in parts unless the Customer reasonably objects and such objection is accepted by Swetaps.
